Emilio J. Alvarez-Farré focuses on corporate and securities matters, including cross-border mergers and acquisitions and financing transactions, having assisted clients in transactions throughout Latin America for more than two decades.
In 1993, he represented the Argentine government in the privatization of YPF, the state-owned oil company. In 1997, he advised the Fondo de Inversiones de Venezuela in the privatization of SIDOR, the state-owned steel company.
He advised Deutsche Morgan Grenfell in the establishment of a mortgage repurchase facility to the Argentine Central Bank in 1998. Prior to that, he had worked with a group of external advisors in advising the Argentine securities regulator with respect to Ley 24,441, which opened the way for mortgage and other securitization in Argentina.
Between 1997 and 1999, he assisted Bankers Trust Company in leveraged financings to companies acquired by the Exxel Group, including Fargo, Tia, Havanna and Oca, the first leveraged buyouts in Argentina.
In 2001 and 2002, he represented Corporacion Durango in several unregistered high-yield debt issuances. He advised the Guatemalan Electricity Trust in its issuance of structured notes in 2004.
In 2007, he represented Banco Santander in a credit facility provided to Arcos Dorados S.A. to finance its acquisition of the Latin American operations of McDonald’s Corporation.
He represented the Mexican chemical company, Mexichem, in several cross-border acquisitions between 2010 and 2014.
He advised International Finance Corporation in several private equity investments in Colombia and Chile and Corporacion Andina de Fomento in investments made in Peruvian and Colombian private equity funds, between 2012 and 2014.
In 2015, he advised Bio Pappel, S.A. de C.V. in its acquisition of Grupo Papelero Scribe. Prior to that, in 2005 and 2009, he had represented Bio Pappel in its financial restructurings.
